1. Acceptance of Terms
By accessing or using the ClinexaOS platform ("Platform"), you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you are accessing the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you may not access or use the Platform.
2. Platform Access & Accounts
Access to ClinexaOS is provided to registered institutional accounts and authorised individual users. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at info@clinexaos.com of any unauthorised use.
- Accounts may not be shared between individuals without express written permission
- You must provide accurate and complete registration information
- Account access is limited to the number of authorised users specified in your service agreement
3. Permitted Use
ClinexaOS is licensed, not sold, to you for use in accordance with these Terms and your applicable service agreement. Permitted use includes: accessing AI-generated clinical analysis outputs, integrating the API into authorised clinical workflows, and generating reports within your institution.
Prohibited uses include:
- Reselling, sublicensing, or redistributing access to the Platform
- Attempting to reverse-engineer, decompile, or extract model weights
- Submitting data that you do not have the right to process
- Using the Platform in any way that violates applicable law
- Automated scraping or bulk extraction of outputs beyond your licensed usage
4. Clinical Use Disclaimer
Important: ClinexaOS outputs are intended to assist qualified healthcare professionals and do not constitute medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the sole responsibility of the treating clinician or institution. ClinexaOS outputs must not be the sole basis for any clinical decision without independent qualified clinical review.
ClinexaOS is a decision-support tool. It is not approved as a standalone diagnostic device in any jurisdiction unless explicitly stated in your jurisdiction-specific service agreement and applicable regulatory clearance documentation.
5. Intellectual Property
All rights, title, and interest in the Platform — including models, software, interfaces, and documentation — remain exclusively with ClinexaOS Inc. You retain ownership of the clinical data you submit. You grant ClinexaOS a limited licence to process submitted data solely for the purpose of generating the requested analysis output.
6. Data & Privacy
Your use of the Platform is subject to our Privacy Policy and, where applicable, your institution's Data Processing Agreement with ClinexaOS. You are responsible for ensuring that your submission of clinical data complies with applicable healthcare data protection law in your jurisdiction.
7. Service Availability
We aim to maintain 99.9% platform uptime in accordance with our SLA terms. Planned maintenance will be communicated with a minimum of 48 hours' notice. We are not liable for downtime resulting from force majeure events, third-party infrastructure failures, or circumstances outside our reasonable control.
8. Limitation of Liability
To the maximum extent permitted by applicable law, ClinexaOS shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform. Our total aggregate liability to you shall not exceed the amount paid by you to ClinexaOS in the 12 months preceding the claim.
9. Termination
Either party may terminate access upon the terms specified in the applicable service agreement. We reserve the right to suspend access immediately in cases of material breach, security risk, or non-payment. Upon termination, your right to access the Platform ceases and any cached session data is purged.
10. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Fairfax County, Virginia, unless otherwise specified in your service agreement.
